1. Introduction

These Terms & Conditions govern your use of The Fight Desk (the "Service"), operated by Cody Johnson ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these terms. If you do not agree, you must not use the Service.

2. Acceptance of Terms

By creating an account or continuing to use the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Product Description

The Fight Desk is a combat sports promotion management platform. It allows users to create and manage fighter rosters, schedule events, track rankings, generate media content, and manage in-app currency ("Tokens") used for premium AI-generated features.

4. Account & Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it updated. We reserve the right to suspend or terminate accounts for security violations or fraudulent activity.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload or distribute malware, spam, or harmful content
• Infringe upon intellectual property rights of others
• Interfere with or disrupt the security or performance of the Service
• Attempt to probe, scan, or test the vulnerability of the Service
• Scrape, data-mine, or use automated means to access the Service without authorization

6. Payments & Subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For payment, billing, tax, cancellation, and refund mechanics, please refer to Paddle's Buyer Terms.

7. Intellectual Property

All content, software, branding, and materials provided through the Service are owned by Cody Johnson and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not reverse engineer, redistribute, or resell any part of the Service.

8. User Content

Any content you create or upload within the Service (fighter profiles, event data, etc.) remains yours. By uploading content, you grant us a limited license to host and process it solely for the purpose of providing the Service to you.

9. AI-Generated Content

The Service includes AI-generated content features. Outputs may not always be accurate and are provided for entertainment and creative purposes. You are responsible for how you use AI-generated outputs. Do not use the Service to generate illegal content, deepfakes, hate speech, or malware.

10. Service Level

We do not guarantee that the Service will be uninterrupted or error-free. The Service is provided "as is" without warranties of any kind, either express or implied, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability shall be limited to the total amount paid by you to us in the six months preceding the claim. We shall not be liable for any indirect, consequential, or special damages, including loss of profits, data, or goodwill, except where prohibited by law.

12. Suspension & Termination

We may suspend or terminate your access to the Service for: material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cody Johnson resides, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms & Conditions from time to time. We will notify you of significant changes by posting an updated version on this page with a revised date. Continued use of the Service after changes constitutes acceptance.
